Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Offload (“Offload,” “we,” “us”), including our website, dashboard, and mobile apps (collectively, the “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Offload is a tool for individual resellers that helps you create marketplace listings, research market prices, and manage buyer messages and offers using AI assistance. At launch, Offload connects only to eBay. Offload is not a marketplace itself, is not a party to any transaction between you and a buyer, and does not take title to or possession of any item you list.

You must be at least 18 years old and able to form a binding contract to use Offload. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@offloadseller.com if you suspect unauthorized use of your account.

When you connect an eBay account, you authorize Offload to act on your behalf to create and manage listings, retrieve market data, and send and receive buyer messages using eBay’s APIs. You remain solely responsible for complying with eBay’s User Agreement, listing policies, and applicable law, including accurately describing items and honoring any sale you complete. Offload is not responsible for actions taken by eBay against your seller account, including suspension or listing removal.

Other marketplaces shown in the product as “Coming soon” (Etsy, OfferUp, Mercari, Craigslist) are not currently connected or usable — toggling them does nothing.

Offload uses AI (including Google Gemini) to identify items from photos, draft listing titles and descriptions, and suggest negotiation replies and counter-offers. AI output can be inaccurate, incomplete, or inappropriate for your item. You are solely responsible for reviewing and editing any AI-generated title, description, or message before it is published or sent — nothing is published to eBay or sent to a buyer without either your approval or a setting you explicitly enabled (see Section 6).

If you enable “Auto-negotiate” on a listing, Offload may automatically send a counter-offer to a buyer on your behalf without asking for approval first, subject to the minimum price (“floor price”) you set. Offload will never automatically accept an offer on your behalf — accepting an offer always requires your explicit action, regardless of negotiation mode. You can change or disable this setting at any time from the listing. You are responsible for setting a floor price you are actually willing to accept.

Offload is offered as a paid subscription at $29/month after a 14-day free trial. Depending on how you access Offload, billing is handled by one of two systems:

• Web (Stripe): if you subscribe through the Offload website, your subscription is billed via Stripe and automatically renews each month at the then-current price until you cancel. You can cancel anytime from Settings → Subscription → Manage subscription, which opens the Stripe billing portal. Cancellation takes effect at the end of the current billing period.
• iOS / Android (in-app purchase): if you subscribe through the Offload app on the App Store or Google Play, your purchase is processed by Apple or Google (via RevenueCat) and is subject to their respective payment terms. Payment is charged to your Apple ID or Google Play account at confirmation of purchase. Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period. Manage or cancel your subscription in your Apple ID or Google Play account settings — Offload cannot cancel an in-app purchase subscription on your behalf.

Refunds are handled according to the policy of whichever system processed your payment (Stripe purchases: contact us at support@offloadseller.com; App Store / Play Store purchases: refunds are handled by Apple or Google directly, per their standard policies).

You agree not to use Offload to:

• List items you do not have the legal right to sell, or that are prohibited by eBay or applicable law
• Send harassing, fraudulent, or deceptive messages to buyers
• Attempt to circumvent eBay’s fees, policies, or rate limits
• Interfere with or disrupt the Service or attempt to access it using automated means outside of the app itself
• Use the Service in a way that violates any applicable law or regulation

We may suspend or terminate accounts that violate this section.

Offload and its original content, features, and functionality are owned by Offload and protected by applicable intellectual property laws. You retain ownership of the content you upload (photos, descriptions you write) and grant us a limited license to process it solely to provide the Service to you (e.g., sending photos to Gemini for identification, sending listing content to eBay).

You may stop using Offload and delete your account at any time from Settings → Delete my account, which permanently removes your account and associated data as described in our Privacy Policy. We may suspend or terminate your access to the Service if you violate these Terms. Deleting your Offload account does not cancel a subscription billed through the App Store or Google Play — cancel those directly with Apple or Google.

The Service is provided “as is” without warranties of any kind, express or implied. Offload does not guarantee that AI-generated content is accurate, that a listing will sell, or that any particular price will be achieved. To the maximum extent permitted by law, Offload will not be liable for any indirect, incidental, or consequential damages arising from your use of the Service, including lost sales, lost profits, or disputes with buyers or eBay.

We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where appropriate, notify you by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
